1. Introduction

Welcome to AuditCorp Canada. These Terms and Conditions ("Terms") govern your use of our website (the "Site") and financial audit services (collectively, the "Services") offered by AuditCorp Canada ("we," "our," or "us").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our Services.

2. Eligibility

AuditCorp Canada provides financial audit services to businesses in Canada. Our Services include, but are not limited to, Express Audit, Full Audit, and Enterprise Audit packages as described on our Site.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without notice.

4. User Accounts

You may be required to create an account to access certain features of our Services. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

You agree to provide accurate and complete information when creating your account and to update your information as necessary to keep it accurate and complete.

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or outdated.

5. User Responsibilities

When using our Services, you agree to:

• Provide accurate and complete information required for our audit services
• Use our Services only for lawful purposes and in accordance with these Terms

Payment terms will be specified in your service agreement. All payments are non-refundable unless otherwise specified in the agreement or required by law.

You are responsible for any taxes, duties, or fees associated with your use of our Services.

All content on our Site, including text, graphics, logos, images, audio clips, digital downloads, and data compilations, is the property of AuditCorp Canada or our content suppliers and is protected by Canadian and international copyright laws.

9. Limitation of Liability

To the fullest extent permitted by law, AuditCorp Canada, its officers, directors, employees, and agents disclaim all warranties, express or implied, in connection with the Services and your use thereof.

AuditCorp Canada shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims exceed the amount paid by you, if any, for accessing or using our Services during the twelve (12) months preceding your claim.

You agree to defend, indemnify, and hold harmless AuditCorp Canada, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from:

• Your use of and access to the Services
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your content caused damage to a third party

11. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use our Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
